Agreement to Terms

By accessing or using the AI Citation Scan platform at www.aicitationscan.com (the "Platform"), you ("User," "you," or "your") agree to be legally bound by these Terms of Use ("Terms"), our Privacy Policy, our Cookies Policy, and all other policies incorporated herein by reference. These Terms constitute a legally binding agreement between you and AI Citation Scan ("we," "us," or "our").

If you do not agree to these Terms in their entirety, you must immediately cease all access to and use of the Platform. Your continued use of the Platform following the publication of any updated Terms constitutes acceptance of those updated Terms.

Capacity to Contract

By accepting these Terms, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity and authority to enter into a binding contract; (c) your use of the Platform does not violate any applicable law or regulation in your jurisdiction; and (d) if you are acting on behalf of an organization, you have full authority to bind that organization to these Terms.

Effective Date

These Terms are effective as of January 1, 2025. The most current version of these Terms is always available at aicitationscan.com/terms-of-use.html.

Grant of License

Subject to your compliance with these Terms, AI Citation Scan grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and its intelligence outputs for lawful purposes. This license covers both personal and commercial use of the Platform's analysis outputs, subject to the restrictions in Sections 3 and 4.

Scope of License

The license granted under these Terms permits you to:

• Access and use the Platform's intelligence tools for website analysis
• View, download, and save analysis outputs for personal and internal business use
• Reference and cite intelligence outputs in reports, presentations, and research — provided attribution to AI Citation Scan is included
• Use outputs to inform SEO strategy, technical decisions, and competitive intelligence
• Share individual analysis results with clients or team members for legitimate business purposes

License Restrictions

The license does not permit you to:

• Sublicense, sell, resell, transfer, or assign the license or your rights under it
• Build a competing product or service using Platform outputs as a primary data source
• Systematically extract, scrape, or bulk-harvest data from the Platform through automated means
• Remove, alter, or obscure attribution identifiers or intellectual property notices
• Use the Platform in any way that violates applicable law or third-party rights

Reservation of Rights

All rights not expressly granted in these Terms are reserved by AI Citation Scan. No implied license is created by any course of dealing, performance, or trade usage. The grant of any license under these Terms does not convey any title to or ownership of any Platform component, data system, or intellectual property.

Standards of Use

You agree to use the Platform only in a manner that: (a) complies with all applicable local, state, national, and international laws and regulations; (b) respects the rights of third parties; (c) does not interfere with or disrupt the integrity, security, or performance of the Platform; and (d) is consistent with the spirit and purpose of a professional intelligence analysis tool.

User Responsibility for Submitted URLs

You are solely responsible for the URLs you submit for analysis. You represent and warrant that submitting any URL for analysis through the Platform does not: (a) violate any applicable law; (b) constitute unauthorized access to any computer system; (c) infringe any third-party intellectual property, privacy, or proprietary rights; or (d) violate any terms of service governing the target website. AI Citation Scan analyzes only publicly observable, non-authenticated information and is not responsible for how you use or act upon analysis results.

Technical Abuse

You must not use the Platform to:

• Deploy bots, crawlers, spiders, or automated scripts to systematically extract data at volume without our prior written authorization
• Attempt to access, probe, or test the security or vulnerability of the Platform's infrastructure
• Introduce any virus, worm, Trojan horse, logic bomb, or other malicious or harmful code
• Attempt to reverse engineer, decompile, disassemble, or derive source code from the Platform
• Use the Platform in a manner that imposes an unreasonable or disproportionate load on our infrastructure
• Circumvent, disable, or interfere with any security feature, access control, or rate limiting mechanism
• Create mirror sites or automated copies of any portion of the Platform without authorization

Content Abuse

You must not:

• Misrepresent the source, accuracy, or authorship of Platform outputs
• Publish analysis outputs in a manner that falsely implies official endorsement by AI Citation Scan of any conclusion, product, or organization
• Use the Platform to generate intelligence for purposes of market manipulation, securities fraud, or financial deception
• Aggregate Platform outputs with other data sources to create personal profiles of identifiable individuals

Enforcement

AI Citation Scan reserves the right to investigate suspected violations of these prohibitions and to take any action it deems appropriate, including without limitation: suspending or terminating your access to the Platform, notifying relevant law enforcement authorities, and pursuing all available legal remedies. We are not obligated to monitor Platform use, but we may do so at our discretion.

Nature of Technology Identification

Technology identifications surfaced through the Platform are derived from: (a) publicly observable HTTP response headers; (b) publicly accessible HTML and JavaScript source code; (c) DNS records and public WHOIS data; (d) publicly documented technology fingerprint signatures; (e) standard metadata accessible via public web requests; and (f) open-source technology detection logic. These methods analyze only information that is publicly accessible to any standard HTTP client.

Technology identifications are probabilistic in nature. The Platform uses weighted fingerprint matching and inference logic, which may produce incorrect, incomplete, or outdated results. The absence of a technology from results does not confirm its absence from the target website. The presence of a technology in results does not guarantee its confirmed deployment.

No Provider Relationship

The naming of technology providers in analysis outputs (including but not limited to: CMS vendors, hosting companies, CDN providers, analytics platforms, advertising networks, JavaScript framework maintainers, and security service providers) is done solely for informational identification purposes. All provider and product names used are the trademarks of their respective owners. AI Citation Scan claims no affiliation with, sponsorship by, or endorsement from any named technology provider unless an explicit partnership is separately and publicly disclosed.

No Investment or Business Advice

Intelligence outputs reflecting technology adoption, infrastructure choices, or platform usage do not constitute investment advice, financial analysis, or business strategy recommendations. You must independently evaluate any intelligence output before making business, financial, technical, or strategic decisions in reliance upon it.

Platform Ownership

The Platform, including but not limited to its source code, user interface design, visual design system, intelligence analysis logic, fingerprint matching algorithms, data processing methodologies, documentation, and all associated text and media content, is the exclusive proprietary property of AI Citation Scan or its licensors and is protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

Our Trademarks

The name "AI Citation Scan," the Platform's logo, and all product names, service names, slogans, and visual identifiers associated with the Platform are trademarks or service marks of AI Citation Scan. Nothing in these Terms grants you any right or license to use our trademarks without our prior written consent. Unauthorized use of our trademarks is strictly prohibited and may constitute trademark infringement.

User-Generated Content

The Platform does not invite users to submit content that becomes part of the Platform. If you contact us via the contact form, you grant AI Citation Scan a non-exclusive, royalty-free license to use the content of your submission solely for the purpose of responding to your inquiry. You retain all ownership of any content you submit.

Third-Party Trademarks

All third-party product names, company names, trademarks, service marks, and logos referenced in Platform outputs are the property of their respective owners. References to third-party marks in analysis outputs are made solely for the purpose of identifying the technologies detected in analyzed websites and do not imply any relationship between those third parties and AI Citation Scan.

DMCA & Copyright

If you believe any content on the Platform infringes your copyright, please review our DMCA Policy and submit a takedown notice through the procedure described therein. We respond to valid DMCA notices promptly and in accordance with applicable law.

External Links

The Platform may contain hyperlinks to third-party websites for reference, citation, and informational purposes. These links are provided as a convenience only. AI Citation Scan does not control, endorse, sponsor, or assume responsibility for any third-party website, its content, its privacy practices, or its terms of use. Accessing third-party websites through links on the Platform is at your own risk and subject to the terms and privacy policies of those websites.

Third-Party Data Sources

Some intelligence signals processed by the Platform are derived from publicly available third-party data sources including public DNS records, WHOIS registries, public web standards documentation, and open-source technology libraries. While we endeavor to maintain accurate and current data source integrations, AI Citation Scan does not warrant the accuracy, completeness, timeliness, or reliability of any third-party data incorporated into analysis outputs. Changes in third-party data availability may affect analysis quality without notice.

Analyzed Third-Party Websites

Analysis outputs generated for a submitted URL reflect publicly available information about the analyzed website at the time of analysis. AI Citation Scan has no affiliation with, authority over, or responsibility for the websites analyzed by users. Website owners whose properties are analyzed through the Platform retain full ownership of and responsibility for their own content and infrastructure.

Specific Warranty Disclaimers

AI Citation Scan specifically disclaims all of the following warranties to the fullest extent permitted by law:

• Implied warranty of merchantability: The Platform is not warranted to be of merchantable quality or fit for any general or particular purpose
• Implied warranty of fitness for a particular purpose: No warranty that the Platform will meet your specific requirements, objectives, or use cases
• Warranty of accuracy: No warranty that analysis outputs are accurate, complete, current, error-free, or reliable at the time of delivery or at any future time
• Warranty of non-infringement: No warranty that the Platform or its outputs do not infringe the intellectual property rights of any third party
• Warranty of uninterrupted availability: No warranty that the Platform will be continuously available, error-free, secure from unauthorized access, or free from interruptions, delays, or defects
• Warranty of timeliness: No warranty that analysis outputs reflect real-time or current conditions on analyzed websites

All intelligence outputs provided by the Platform are intended for informational and reference purposes only. They do not constitute professional advice of any kind — including without limitation legal advice, technical advice, financial advice, investment advice, or business strategy advice. You should consult qualified professionals before making material decisions in reliance on Platform outputs. AI Citation Scan assumes no responsibility for decisions made based on its outputs.

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by applicable law. Nothing in this section is intended to limit any rights you may have under applicable mandatory consumer protection laws.

Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AI CITATION SCAN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY OF THE FOLLOWING, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF AI CITATION SCAN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES:

• Loss of profits, revenue, or anticipated business
• Loss of data, information, or business intelligence
• Loss of goodwill, reputation, or business opportunities
• Cost of procurement of substitute services or products
• Business interruption or downtime costs
• Indirect, incidental, special, punitive, or consequential damages of any nature
• Damages resulting from unauthorized access to or alteration of your transmissions
• Damages resulting from your reliance on any intelligence output for any business, technical, legal, or financial decision

Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AI CITATION SCAN'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM — REGARDLESS OF THE FORM OF ACTION OR LEGAL THEORY — SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO AI CITATION SCAN IN THE TWELVE MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

Because the Platform is offered free of charge, this liability cap effectively means that AI Citation Scan's maximum aggregate liability for any claim is USD $100.00.

Essential Basis

The limitations of liability in this section reflect a reasonable allocation of risk between you and AI Citation Scan and are an essential basis of the bargain between the parties. AI Citation Scan would not be able to provide the Platform on the terms offered without these limitations. The limitations apply even if any limited remedy fails of its essential purpose.

Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless AI Citation Scan and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your access to or use of the Platform in violation of these Terms
• Your violation of any applicable law, regulation, or third-party right
• Any content or information you submit to the Platform
• Any URLs you submit for analysis and the manner in which you use resulting outputs
• Any dispute between you and a third party arising from your use of intelligence outputs
• Your breach of any representation, warranty, or obligation in these Terms

Cooperation

AI Citation Scan reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with AI Citation Scan in asserting any available defenses.

No Uptime Guarantee

AI Citation Scan makes no representation, warranty, or guarantee regarding Platform availability, uptime, or response times. The Platform is made available on a best-efforts basis. We may, without notice, modify, suspend, restrict, or discontinue the Platform or any feature thereof at any time for any reason, including for maintenance, security updates, technical improvements, legal compliance, or business reasons.

Rate Limiting & Access Controls

AI Citation Scan reserves the right to implement and enforce rate limits, IP-based access controls, geographic restrictions, and other technical measures to protect Platform integrity and ensure fair use. Attempting to circumvent such controls constitutes a material breach of these Terms and may result in immediate access suspension and legal action.

Analysis Accuracy Over Time

Analysis outputs are generated from a snapshot of publicly observable information at the time of the request. Websites change continuously. An analysis result that was accurate at the time of generation may not reflect the current state of the analyzed website at any later time. AI Citation Scan does not update, refresh, or guarantee the currency of previously generated analysis outputs.

Right to Modify

AI Citation Scan reserves the right to modify, update, or replace these Terms at any time at its sole discretion. We will indicate the effective date of the current version at the top of this page. For material changes — including changes to the license scope, warranty disclaimer, liability cap, or governing law provisions — we will endeavor to provide at least 14 days' notice via a notice on the Platform's homepage before the change takes effect.

Your continued use of the Platform after modified Terms are published constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, your only recourse is to cease using the Platform.

Termination by AI Citation Scan

AI Citation Scan may, in its sole discretion, terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if we believe you have violated these Terms, engaged in fraudulent or harmful conduct, or if your continued access poses a risk to Platform security, integrity, or other users.

Termination by You

You may terminate your relationship with AI Citation Scan under these Terms at any time by simply ceasing to use the Platform. Because no account creation is required, no formal account deletion process is necessary. If you have submitted contact information, you may request its deletion as described in our Privacy Policy.

Survival

The following provisions survive any termination of these Terms: Sections 6 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 14 (Governing Law), and all provisions that by their nature should survive termination.

Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. For users located in the European Union, nothing in this section affects your rights under applicable mandatory consumer protection laws of your member state.

Informal Resolution First

Before initiating any formal dispute resolution process, you agree to contact AI Citation Scan via contact.html with a written description of the dispute and your desired resolution, and to engage in good-faith negotiation for a period of at least 30 days from the date of your notice. This informal resolution step is a condition precedent to any formal proceeding.

Binding Arbitration

If a dispute cannot be resolved informally, you and AI Citation Scan agree to resolve the dispute through binding individual arbitration under the rules of the American Arbitration Association (AAA), rather than in court. The arbitration will be conducted in English. You waive your right to participate in a class action lawsuit or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy, Cookies Policy, and any other policies incorporated by reference, constitute the entire agreement between you and AI Citation Scan regarding the subject matter herein and supersede all prior and contemporaneous agreements, representations, warranties, and understandings of any kind.
